Board Member Requirements

Conflict of Interest Policy

No member of the Board of Directors, or any of its committees, shall derive any personal profit or gain, directly or indirectly, by reason of his or her participation with Hope’s Harbor Family Hospitality Homes. Each individual shall disclose to the organization any personal interest which he or she may have in any matter pending before the organization and shall refrain from participation in any decision or voting on such matter.

Any member of the board, any committee or staff who is an officer, board member, a committee member or staff member of a client organization or vendor of Hope’s Harbor Family Hospitality Homes shall identify his or her affiliation with such agency or agencies; further, in connection with any committee for board action specifically directed to that agency, s/he shall not participate in the decision affecting that agency and the decision must be made and/or ratified by the full board.

Any member of the board, committee, staff and certain consultants shall refrain from obtaining any list of clients for personal or private solicitation purposes at any time during the term of their affiliation.

Board Member Expectations

As a Board Member I will:

– Be committed to the mission, goals, and objectives of the Corporation and shall act in the best interest of the Corporation at all times.

– Ensure the protection of the Corporation’s tax-exempt status, and all other assets physical or otherwise, included the Corporation’s reputation with regard to the general public, foundation support and key donors.

-Review and validate the Corporation’s financial statements and assets, assist with the creation and adoption of an annual budget, provide guidance and direction with regard to short and long term strategic planning and goals, as well as assist the Corporation in acquiring financial support.

– Ensure the Corporation’s legal and ethical integrity and adhere to the provisions of the Corporation’s Bylaws and Articles of Incorporation.

– Maintain working knowledge of the Corporation’s financial information, general operations, events, programs, and legal framework. The Board is expected to question with an open and curious mind, be respectful to fellow board members and staff, listen attentively, maintain independence and objectivity, advocate according to conviction, strive towards consensus, and support majority decisions.

– Attend at a minimum of seventy five percent (75%) of all board meetings, committee meetings, and sub-committee meetings during the calendar year.

– Serve on at least one committee to help ensure the Corporations goals are obtained.

-Participate in the Corporation’s fundraising efforts.

-Make a personal financial contribution annually.

-Attend at least one Hope’s Harbor event a year or volunteer at the house at least once a year.

Failure to meet any of these expectations can result in removal from the Board and/or committee.
